Courion Limited WARRANTY
Subject to the limitations and provisions set forth below, Courion warrants to Buyer that all material and goods produced by Courion and sold in connection with the above Project are free of defects in material and workmanship and were manufactured in accordance with Courion’s standard business practices and that all work was done in a workmanlike manner. The SOLE and EXCLUSIVE obligation of Courion under this Warranty is limited to the repair or replacement (as determined by Courion) of material, excluding the cost of field labor and installation, for a period of one (1) year from the date of delivery of any such defective material or goods, provided that the defects are not, in Courion’s sole opinion, the result of extraordinary usage or from causes beyond Courion’s reasonable control.
THE WARRANTY SET FORTH HEREIN IS MADE EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, OR ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE, AND ALL OTHER SUCH WARRANTIES ARE SPECIFICALLY EXCLUDED. THE CORRECTION OF ANY DEFECTS, TO THE EXTENT SET FORTH ABOVE, SHALL BE COURION’S LIMIT OF LIABILITY AND EXCLUSIVE REMEDY FOR ANY AND ALL LOSSES, DELAYS OR DAMAGES RESULTING FROM THE PURCHASE OR USE OF MATERIALS SOLD.
